How we work

Tax can affect price, cash flow, risk allocation and whether a proposed structure is workable. Allenby Legal brings substantial tax experience to business and property transactions, ownership structures and disputes with revenue authorities.

  1. 01

    Identify the commercial choice

We frame the legal and tax issue around the transaction or decision that must be made.

  2. 02

    Test the consequences

Alternative structures are considered against legal risk, tax, funding, administration and exit.

  3. 03

    Document consistently

The agreement and implementation steps are aligned with the adopted structure and adviser input.

Start with the transaction and the group

We review who owns the assets, who controls each entity, the intended transaction and how money will reach the owners. A structure that appears efficient for one entity can create a different cost through duty, loan accounts, distributions, financing or a later exit.

For a proposed business sale, assemble the group chart, trust deeds, share records, recent accounts and an outline of the proposed terms. We coordinate legal analysis with your accountant’s model and identify assumptions requiring valuation or specialist input before documents are signed.

Frequently asked questions

When should structuring advice be obtained?

Before a binding commitment or ownership transfer. The documents and transaction date can affect available options.

Do you prepare accounting returns and valuations?

We coordinate legal tax advice with the accountant’s calculations and return work and any required independent valuation. Responsibilities are agreed in the scope.

Does a federal rollover remove NSW duty?

Not automatically. Federal tax relief and state duty concessions have separate conditions and must be checked independently.

Can a restructure be designed solely for a pending sale?

An imminent sale can affect whether a proposed rollover or concession is available. We test the actual purpose, assets, ownership and statutory conditions before recommending a change.

Have a legal matter to discuss?

Send a short summary of the issue, the outcome you want and any deadline. We will check whether we can act and confirm the next step.
